1. Eligibility: The 2026 Canvas Career 3-Year Partnership Selection (the “Contest”) is open to organizations located within the United States that offer professional learning, training, certification, or education programs (each an “Eligible Organization”). The Contest is not open to K-12 or higher education institutions. By entering, the individual (the “Entrant”) warrants that they have the legal authority to bind the Eligible Organization to these Official Rules and the Co-Marketing requirements set forth in Section 8. Employees of Instructure, Inc. and their respective related companies, agents, subcontractors and suppliers, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Contest is subject to all federal, state and local laws and regulations.
2. Sponsor: Instructure, Inc., 6330 South 3000 East, Suite 700, Salt Lake City, Utah 84121.
3. Agreement to Official Rules: By participating in the Contest, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding. Winning the Prize is contingent upon the Eligible Organization fulfilling all requirements set forth herein.
4. Timing: The Contest begins at 12:01 a.m. Mountain Time (“MT”), February 16, 2026 and ends at 5:00 p.m. MT, March 13, 2026 (the “Contest Period”).
5. How to Enter: During the Contest Period, Entrants acting on behalf of an Eligible Organization may enter by visiting the official Contest landing page via the URL or QR code provided in the promotional materials.
Entry Requirements: Entrants must complete the entry form in its entirety, providing their name, job title, valid business email address, phone number, name of the Eligible Organization, and organization type. Limit one (1) entry per Entrant (individual person). There is no limit to the number of unique Entrants who may enter on behalf of the same Eligible Organization.
6. Winner Selection: Three (3) winners will be selected at Sponsor’s sole discretion. While an Eligible Organization may have an unlimited number of entries, an Eligible Organization is only eligible to win one (1) Prize. Sponsor’s decisions as to the administration of the Contest and the selection of potential winners are final.
Notification: Winners will be notified via the business email provided at entry. The notified Entrant will have 10 calendar days to claim the prize on behalf of their organization. Entrants selected must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Sponsor may require proof of eligibility, authority, and compliance with these Official Rules as a condition of awarding the Prize, and failure to provide such proof may result in disqualification.
7. Prizes: If timely claimed, Sponsor will award three (3) prizes (each a “Prize”). Each Prize consists of a three (3) year subscription to Canvas Career for the winning Eligible Organization.
Approximate Retail Value (ARV): The total retail value of each Prize is $115,000.
Term & Implementation: Term & Implementation: The 3-year term commences upon the execution of Sponsor’s standard Service Agreement. At the conclusion of the 36-month term, the subscription will terminate unless the Eligible Organization elects to renew at then-current market rates.
Restrictions: No cash substitution, assignment, or transfer of prizes is permitted. Sponsor reserves the right to substitute the Prize (or any portion thereof) with a prize of comparable or greater value, or to modify the features or components of the Prize to reflect product updates, technical requirements, or business needs, in Sponsor’s sole discretion.
8. Co-Marketing Requirements: As a condition of receiving and maintaining the Prize, the Eligible Organization agrees to the following marketing commitments. These activities will scale according to the organization’s product maturity and implementation status over the 3-year term, and are intended to highlight the partnership and the organization's use of Canvas Career.
- A. Video & Content Production
- Video Testimonials: Participate in at least one (1) high-production-value video case study (filmed on-site or remotely).
- Multi-Level Case Study: Collaborate on a comprehensive written case study featuring interviews with at least one (1) executive stakeholder (ROI-focused) and one (1) program administrator (usage-focused).
- Blog Contributions: Provide content for, or participate in interviews for, two (2) featured posts on the Instructure blog.
- B. Press & Media Relations
- Press Releases: Participate in two (2) joint press releases: one (1) initial "partnership launch" announcement and one (1) "impact/data-driven" story revisit in Year 2 or 3.
- Media Interviews: Agree to participate in up to three (3) media interviews with industry publications upon request.
- Byline Articles: Provide quotes and/or editorial approval for comments in at least two (2) byline articles or thought-leadership pieces.
- C. Events (In-Person & Virtual)
- Webinars: Participate in up to two (2) co-marketed virtual events over the 3-year term, such as webinars, virtual panels, or customer roundtables.
- In-Person Events: Attend at least one (1) Instructure-owned in-person event per year, such as regional roadshows, customer meetups, or hosted roundtables. Participation does not require formal speaking or presentation preparation.
- Travel & Accommodations: For agreed-upon in-person events, Sponsor will cover reasonable travel and hotel accommodations for up to two (2) representatives, in accordance with Sponsor’s standard travel and expense policies.
- D. Advocacy & Community Engagement
- Customer Reference Calls: Act as a peer reference for up to four (4) calls per year with prospective Canvas Career customers.
- Community Leadership: Participate in the Instructure Community forums, which may include three (3) "Ask Me Anything" (AMA) sessions or featured discussions.
- Semi-Annual Insights: Participate in twice-yearly interviews with Instructure’s marketing and sales teams to provide feedback, program data, and market insights.
- E. Social Media & Co-Branding
- Social Posts: Agree to a minimum of four (4) co-branded social media posts per year across LinkedIn, X, or other professional platforms.
- Tagging & Visuals: All posts must include tagging of @Instructure and use approved co-branded visuals.
- Logo Rights: Grant Sponsor a non-exclusive, royalty-free license to use the Eligible Organization’s name and logo on the Sponsor’s website, in sales decks, and at trade show displays.
Good Faith Clause: The Eligible Organization acknowledges that the Prize value is predicated on this partnership. Failure to participate in these activities in good faith, or a withdrawal of marketing permissions, may result in the immediate termination of the remaining Prize term.
9. General Conditions: Sponsor reserves the right to cancel or modify the Contest if fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Contest, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes from among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
10. Release: By entering this Contest, Entrant and Eligible Organization agree to release and hold harmless, Sponsor and each of its related companies, their respective officers, directors, employees, and agents from and against any claim or cause of action arising directly or indirectly, in whole or in part, out of participation in the Contest, any co-marketing activities, or receipt or use of any prize.
11. Limitations of Liability: Sponsor is not responsible for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Contest, including without limitation inaccurate transcription of entry information; (iv) electronic or human error which may occur in the administration of the Contest or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to Entrant’s computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or accessing or downloading information or materials connected with this Contest.
12. Dispute Resolution: Entrant and Eligible Organization agrees that: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant(s) and Sponsor and its agencies, shall be governed by and construed exclusively in accordance with the laws of the State of Utah without giving effect to any choice of law or conflict of law rules which would cause the application of the laws of any jurisdiction other than Utah. Entrant and Eligible Organization agrees that any action at law or in equity arising out of or relating to this Contest, or awarding of the prizes, shall be filed only in the state or federal courts located in the County of Salt Lake in the State of Utah and Entrant and Eligible Organization hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action. Except where prohibited, by participating in this Contest, Entrant and Eligible Organization agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or awarding of the prizes, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Contest but in no event attorneys’ fees; and (c) under no circumstances will any participant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for incidental or consequential damages, so the above may not apply to you.
13. Entrant’s Personal Information: Information collected from Entrants is subject to Instructure, Inc.’s Privacy Policy located at https://www.instructure.com/policies/marketing-privacy.
14. Severability. If any provision of these Official Rules is held invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.
